• The borrower hereby authorizes Prime Global Finance Corporation to verify, store, gather and process personal information as may be required in relation to the grant of this credit accommodation.
• The borrower acknowledges the confidentiality of the information that will be obtained by Prime Global Finance Corporation pursuant of Republic Act No. 10173 as a result of inquiry and agree that any and all information shall remain the property of Prime Global Finance Corporation.
• The borrower hereby acknowledges and authorizes:
  • the regular submission and disclosure of my basic credit data (as defined under Republic Act No. 9510 and its implementing Rules and Regulations) to the Credit Information Corporation (CIC), as well as any updates or corrections thereof;
  • sharing of my basic credit data with other lenders authorized by the CIC and credit reporting agencies duly credited by the CIC
  • sharing such information and data as may be required, summoned or subpoenaed by the Anti-Money Laundering Council, judicial bodies and other proper authorities of the government, having jurisdiction and authority as such.

Data Privacy

Maintaining your privacy is an important part of the products and services that we provide. This Privacy Statement, hereafter referred to as “Statement”, explains how we collect, protect, use, and share information when you access our websites and/or apply for and avail of our products and services.

This Statement outlines the general practices of Prime Global Finance Corporation (“PGFC”) in relation to our processes and content which are made available through our website and social media pages (collectively referred to as “websites”). This Statement also covers the privacy practices for our customers who apply for and obtain products and services from us, such as, but not limited to loans, investments, insurance, and other such products and services that the PGFC may offer from time to time.

Our Privacy Practices

The privacy practices described in this Statement are primarily intended for individuals in the Philippines and are designed to comply with the Data Privacy Act of 2012 (R.A. 10173) and its implementing rules and regulations.

What We May Collect Data and Information From You

When you apply for or avail of any product or service that PGFC offers or when you interact with our employees, authorized representatives, agents and service providers, you hereby allow us to collect your personal information. This may include, among others:

Personal information which refers to any information whether recorded in a material form or not, from which the identity of an individual is apparent or can be reasonably and directly ascertained by the entity holding the information, or when put together with other information would directly and certainly identify an individual.

Other essential information in the ordinary course of business:

• your name and personal particulars such as contact details, address, birthdate, education;
• specimen signatures;
• government ID details;
• financial information (such as income, expenses, balances, investments, tax, insurance, financial and transaction history, etc);
• employment details;
• business interests and assets;
• images via CCTV and other similar recording devices and processes which may be observed when visiting our office;

We may, when necessary, seek to verify or augment these information with third-party entities including government regulators, judicial, supervisory bodies, tax authorities or courts of competent jurisdiction and, in the process, gain additional information about you.

In the course of availing our products and services, we also collect information about your transactions and dealings which include your account activities, movements and interactions with third parties such as merchants and utility companies.

When you access our websites, we may provide information about us as well as information regarding our products and services. If you have enrolled your account as a condition of use, you may conveniently access your accounts through the website. In the course of using our network of websites and electronic platforms, we may collect non-personal information such as those provided by your device which may include the IP address, operating system, browser type and version, and other machine identifiers. We may likewise use web analytics tools, including those of third parties’, that use cookies to collect anonymous information and data generated in connection with your activities when you visit the pages and our websites.

We may also collect, use and keep your personal opinions or comments made known to us via feedback or responses to surveys or any other interaction that you had with our employees, authorized representatives, agents and service providers.

How We Use Your Information

We use the information collected to deliver and provide the products and services that you have availed to:

• approve, facilitate, administer and process applications and transactions;
• respond to queries, requests and complaints and improve how we interact with you;
• send you statements, notices and other such documents necessary for continued use of our products and services;
• conduct studies and researches for the purpose of reviewing, developing and improving our products and services;
• perform profile analysis, behavioral modeling and analytics to understand needs, preferences and market trends to be able to improve and recommend suitable products and services;
• reach out to you regarding products and services information, including offers and promotions; and for personalizing your experience with our various touchpoints such as telemarketing, email, messaging and other channels;
• determine the effectiveness of our marketing efforts and initiatives;
• perform certain protective safeguards against improper use or abuse of our products and services including fraud prevention;
• comply with our operational, audit, administrative, credit and risk management processes, policies and procedures, the terms and conditions governing our products, services, facilities and channels, the Securities and Exchange Commission’s rules and regulations, legal and regulatory requirements of government regulators, judicial, supervisory bodies, tax authorities or courts of competent jurisdiction, as the same may be amended or supplemented from time to time.
• comply with applicable laws of the Philippines and those of other jurisdictions including the laws on the prevention of money laundering including the provisions of Republic Act No. 9160 (Anti-Money Laundering Act of 2001, as amended (AMLA) and the implementation of know your customer and sanction screening checks
• comply with legal and regulatory requirements such as submission of data to credit bureaus, credit information companies, the Credit Information Corporation (CIC) (pursuant to RA No. 9510 and its implementing rules and regulations) responding to court orders and other instructions and requests from any local or foreign authorities including regulatory, governmental, tax and law enforcement authorities or other similar authorities;
• perform other such activities permitted by law or with your consent.

How We May Share Your Information

We may share your personal information with our subsidiaries, affiliates and third parties, under an obligation of confidentiality.

• We may share personal information with various units within PGFC in order to better understand the way you use our products and services. This will allow us to improve our services and offer you opportunities to obtain such other useful products and services that may deliver greater value to you.
• We may share information with our subsidiaries and affiliates to likewise offer you additional products and services that we believe you might find interesting.
• We may share with third parties that we engaged to support us in delivering our services to you. These may involve anonymous or aggregated information to help improve our products, services, and content.
• We may also engage third parties to help us operate our business. These include support in:
  • complying with legal requirements such as court orders;
  • enforcing our terms of use including, among others, our rights as creditor to customers availing of our loan or credit products, or such other applicable policies with respect to the services that we provide;
  • addressing fraud, security or technical issues, to respond to an emergency or otherwise to protect the rights, property or security of our customers or third parties;
  • to carry out all other purposes set out above.

Further, if you become, or apply to become a client of any of our subsidiaries and affiliates, PGFC and the subsidiary/ies and/or affiliate/s concerned has the option, but not the obligation to, rely upon, use, and share your relevant personal and/or account information for any of the following purposes:

1. To facilitate your account application with the concerned subsidiary/ies or affiliate/s;
2. To validate, consolidate or update your customer information records and/or credit history;
3. To provide consolidated reports as you may request;
4. To send you reminders, announcements, promotions, offers, invitations and other notifications;
5. For research purposes or to design financial and investment or other related products or services for your use;
6. For promotional and/or marketing activities of PGFC or of the concerned subsidiary/ies or affiliate/s; and/or
7. To comply with a legal obligation to which PGFC or the concerned subsidiary/ies or affiliate/s is subject.

We may transfer, store, and/or process your personal data outside the Philippines. In doing so, we will comply with the Data Privacy Act and its implementing rules and regulations.

We wish to assure you that we do not, and will not, sell personal data to any third parties. All our engagements with third parties shall be fully compliant with our obligation of confidentiality imposed on us under the applicable agreements and/or terms and conditions or any applicable laws that govern our relationship with you.

How We Protect Your Information

We fully recognize the value of your personal information particularly as it may include sensitive personal information such as your gender, government-issued IDs, etc. Appropriately, we strive to maintain the confidentiality, integrity and availability of your personal information by employing physical, technological and procedural safeguards. We train our employees to properly handle your information. Whenever we engage other companies to provide services for us, we require them to protect personal information aligned with our own security standards.

How Long Do We Keep Your Information

Your personal information shall be retained for as long as the purpose for which it was collected, and such other purposes that you may have consented to from time to time, remains in effect and until such time as it is no longer required nor necessary to keep your information for any other legal, regulatory or business purposes.

You Have Rights

In respecting your rights to privacy, you may opt to tell us:

• not to send you marketing materials via email;
• not to share your information with our subsidiaries and affiliates or with other companies that we have business with provided that such information is not critical nor required by applicable laws and regulations in maintaining the services that you have availed with us;
• to provide you with information that we currently have about you subject to restrictions applied to us as a financing company and a company operating in the Philippines by certain laws and regulations;
• to update your information;
• about your other concerns relating to how we collect, use, share, protect or dispose your information.

We may charge a fee for processing your request/s for access and/or update. Such a fee depends on the nature and complexity of your request. Information on the processing fee will be made available to you prior to making the request.

Changes to Our Privacy Statement

We may modify or amend this Privacy Statement from time to time to keep up with any changes in relevant laws and regulations applicable to us or how we collect, use, protect, store, share or dispose of your personal information. Any relevant updates will be posted on the PGFC website.

Definitions:
Personal Information/ Data - refers to any information whether recorded in a material form or not, from which the identity of an individual is apparent or can be reasonably and directly ascertained by the entity holding the information, or when put together with other information would directly and certainly identify an individual.

1. Sensitive Personal Information/ Data - refers to personal information: About an individual’s race, ethnic origin, marital status, age, color, and religious, philosophical or political affiliations;
2. About an individual's health, education, genetic or sexual life of a person, or to any proceeding for any offense committed or alleged to have been committed by such person, the disposal of such proceedings, or the sentence of any court in such proceedings;
3. Issued by government agencies peculiar to an individual which includes, but not limited to, social security numbers, previous or current health records, licenses or its denials, suspension or revocation, and tax returns; and
4. Specifically established by an executive order or an act of Congress to be kept classified.

PGFC subsidiaries and affiliates - members of the Group such as, but not limited to, HBC Inc., Prime Global Corporation, World Partners Insurance Brokers, Inc.

You hereby agree to the following terms and conditions:

1. You shall receive from our company certain notifications and promotional materials covering our loan products.
2. You undertake and agree to promote the Products of PG Finance and receive applications on its behalf. For the purposes of promoting the Products of PG Finance and in rendering the Services, you shall:
   1. make yourself available necessary to promote the Products, to respond to queries about the Products;
   2. Provide true, fair and accurate information to prospective Clients in relation to the Financial Services offered by the First Party in respect of loan applications by Clients. Provide a true, fair and accurate description of the First Party’s business such as to enable a correct and balanced understanding by the prospective Clients of the services offered by the First Party.
   3. assist in the processing of the necessary documentation requirements for the promotion and application of the Products, and to meet relevant requirements under applicable laws;
   4. identify and provide the First Party with the basic information of the Customers, subject to the validation by the First Party of such information in accordance with the First Party’s validation procedure; for this purpose, the Second Party undertakes to comply with the relevant provisions and obligations provided for by Philippine laws regarding the filing, use and processing of personal data of Customers.
   5. undertake to observe the specific directives and instructions which the First Party may give from time to time with respect to information on the Products and the marketing and promotion thereof, and use only advertising and other material authorized in writing or provided by the First Party; for this purpose, the First Party shall provide the Second Party with relevant Product information, the general terms and conditions of loan services.
   6. You shall not allow his interests to conflict with its duties under this Agreement and shall comply with all reasonable and lawful instructions of the First Party.
   7. Second Party acknowledges that all Client brought to the First Party by Second Party are First Party’s clients. Except as provided for herein, any information about these customers are the exclusive and sole property of the First Party. Upon termination of this agreement the clients will remain the First Party’s clients.
COMPLIANCE WITH LAWS, REGULATIONS AND RULES SET FORTH BY THE RELEVANT AUTHORITIES
3. The Second Party represents, warrants and covenants that he shall ensure, at all times, compliance with all applicable laws, regulations and codes of conduct relating to the promoting of the Products, the rendering of the Services and the performance of its duties under this Agreement.
4. The Second Party shall, at all times, observe the specific directives and instructions which the First Party may provide from time to time with respect to the performance of the obligations of the Second Party hereunder and the implementation of its appointment hereunder.
5. The Second Party undertakes to indemnify on a full indemnity basis and hold the First Party harmless from any expenses (including legal costs) incurred and any damages or loss suffered, including the amounts paid as a consequence of a decision of any regulatory or judicial authority, deriving from the breach of the provisions of this Agreement by the Second Party.
6. The Second Party, as part of its contractual services, shall always act, in respect of any matter relating to this Agreement or to the activities required to be performed by it under this Agreement, with utmost integrity and professionalism, with the objective of promoting and protecting the First Party’s best interest. The Second Party shall always uphold the First Party’s interest above its own.
7. The Second Party shall ensure that all communications in which it engages in the course of providing Services to the First Party in accordance with the provision of this Agreement, (whether oral, written, electronic or otherwise and through whatever mode or medium) are fair, clear, not misleading and not aggressive and that nothing in its communication or interaction with any Client, will be untrue, unfair, misleading or aggressive.
   CONFIDENTIALITY
   Mutual Undertaking
8. The Parties reciprocally acknowledge that all the information obtained by one Party from the other Party and all matters taken up in this Agreement or the activities to be performed hereunder or any agreement related hereto are confidential in nature and cannot be disclosed to third parties without the previous written consent of the Party from whom such information was obtained. The Parties agree that such information will be disclosed by them to their respective representatives on a “need to know” basis only and they undertake to take all reasonable measures to restrain their respective representatives to whom such information shall be disclosed from violating this covenant. The foregoing, however, shall not be applicable to any information which (a) is made available to the public other than as a result of a disclosure by any of the Parties; (b) was made available to any of the Parties on a non-confidential basis; (c) became available to any of the Parties on a non-confidential basis from a source other than a party hereto, when such source was entitled to make such disclosure; or (d) is required to be disclosed by a Party under an applicable law or regulation, an order of a court of competent jurisdiction. In the event that either Party is legally required to disclose matters to governmental regulatory authorities, then to the extent permitted under applicable law or regulation, the Party being required to disclose shall consult with the other Party prior to making the required disclosure for the purpose of arriving at a common position with respect to the manner in which the disclosure will be handled.
   Loan Agent’s Undertaking
9. The Loan Agent undertakes, for the term of this Agreement and after the termination of the same, not to disclose any Confidential Information or to use any Confidential Information for any purpose other than for the fulfillment of its obligations under this Agreement. For the purposes hereof, “Confidential Information” shall mean any information or knowledge concerning the procedure, protocols, documentation, and/or methods of financing, preparation, promotion, sale or distribution, directions and other business, sales, marketing and related information or data, whether in written, published or printed form or made available by electronic mode or other communicable form, or orally/verbally disclosed by the First Party to the Second Party for the purposes of undertaking the marketing and sale of the Products, all of which constitute confidential information and property owned by the First Party. The Second Party is aware that the First Party is the exclusive owner of the Confidential Information and that the same has been or will be transmitted to the Second Party for the sole purpose of allowing them to perform its functions under this Agreement. In case of cessation or expiration of the term of this Agreement, the Second Party undertakes, according to the instructions of the First Party, to destroy or return all documents, originals or copies, which contain, or are connected to the Confidential Information, including those documents and the Confidential Information which the Second Party disclosed to its employees, consultants or third parties and it undertakes not to use them further and to ensure that the parties to whom such information were disclosed do not use it further. In addition, the Second Party undertakes to recover the Confidential Information and the related documents which may be in the possession of its employees, consultants or third parties in case of cessation of the relationship between the latter and the Second Party, for any reason whatsoever.
10. Any party, in breach of this confidentiality clause, shall be liable for damages OF NOT LESS THAN ONE HUNDRED THOUSAND PESOS (P100,000.00). Other reliefs that are just, equitable and with competent proof shall be added.

ANTI-BRIBERY

The Second Party agrees and accepts not to engage or encourage directly or indirectly in any conduct that may be construed to be an act of bribery or corruption of any government or public official or any other executive (including indicatively corporate executives) who can make, direct or influence a decision, and to comply with all laws, statutes and regulations relating to anti-money laundering and corruption which are applicable to it.

Second Party shall in no occasion make or offer a payment in money or in kind, or otherwise offer or accept any inducement seeking to obtain a share/percentage in the payment; or induce someone to behave improperly, irrespective of whether they are government, public or private sector officials or employees.
